Introduction and Acceptance

This End User License Agreement (“Agreement”) is a legally binding contract between you (“End User,” “you,” or “your”) and SysIT LLC (“Company,” “we,” “us,” or “our”). By downloading, installing, or using any SysIT LLC software, website, or application (“Software”), you confirm that you have read, understood, and agree to comply with all terms of this Agreement.

If you are using the Software on behalf of an organization or employer (“Organization”), these terms apply both to you as an individual and to your Organization. By installing or using the Software, you represent that you are of legal age, have full authority to bind the Organization, and accept all obligations under this Agreement.

If you do not agree with these terms, you must not install, access, or use the Software. The Software is licensed, not sold, to you under the terms set forth below.

 

Definitions

To ensure clarity, the following terms have specific meanings in this Agreement:

• “Company” refers to SysIT LLC, the entity responsible for the Software and its operation.

• “Software” refers to the digital products, applications, or platforms provided by SysIT LLC.

• “Services” include any related online services, updates, or support.

• “Third-Party Services” refer to external tools, content, or integrations provided by others.

• “You” or “End User” refers to the individual or entity licensed to use the Software.

• “Cookie” means a small data file stored on your device by a web browser for functionality or analytics purposes.

 

License Grant and Scope

Subject to your compliance with this Agreement, SysIT LLC grants you a limited, non-exclusive, non-transferable, and revocable license to:

• Install and use the Software on one (1) device per purchased license;

• Access and use features or content in accordance with documentation provided by SysIT LLC;

• Use a trial version for evaluation purposes, typically limited to fifteen (15) days;

• Receive updates, bug fixes, or enhancements during the active license period.

This license does not grant ownership of the Software. All rights not expressly granted are reserved by SysIT LLC and its licensors.

 

Restrictions and Acceptable Use

You agree not to and will not permit others to:

• Copy, distribute, rent, sell, or sublicense the Software;

• Modify, decompile, reverse-engineer, or attempt to access source code;

• Remove or obscure any proprietary notices or trademarks;

• Use the Software for unlawful, harmful, or unauthorized purposes;

• Interfere with the functionality, security, or integrity of the Software or its servers.

SysIT LLC reserves the right to suspend or terminate your access if misuse or violation is detected.

Intellectual Property Rights

All content, source code, design, and documentation associated with the Software remain the exclusive intellectual property of SysIT LLC or its licensors. The license provided does not convey any ownership rights or title to you.

Any materials, projects, or output you create using the Software remain your property. However, SysIT LLC retains ownership of the Software itself, including all associated updates and derivative works. Unauthorized use or reproduction of our intellectual property is strictly prohibited and may result in legal action.

 

Modifications, Updates, and Third-Party Services

SysIT LLC may modify, enhance, suspend, or discontinue the Software at any time without prior notice. Updates may include feature changes, bug fixes, or performance improvements. While we aim to ensure continued functionality, certain updates may remove or replace features.

The Software may integrate or interact with third-party services, such as APIs, analytics tools, or external platforms. SysIT LLC does not control or assume responsibility for third-party services, and your use of them is governed by their respective terms.

 

Limitation of Liability and Warranties

The Software is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied. SysIT LLC does not guarantee uninterrupted performance, compatibility, or error-free operation.

In no event shall SysIT LLC or its affiliates be liable for indirect, incidental, or consequential damages, including but not limited to data loss, business interruption, or financial loss. SysIT LLC’s total liability shall not exceed the amount you paid for the Software license, if any.

 

Indemnification and Termination

You agree to indemnify and hold harmless SysIT LLC, its partners, and employees from any claims, losses, or damages resulting from your misuse of the Software or violation of this Agreement.

This Agreement remains in effect until terminated by either party. You may terminate it at any time by uninstalling and deleting the Software. SysIT LLC may terminate the license immediately without notice if you breach these Terms. Upon termination, you must cease all use and destroy any copies of the Software.

 

Governing Law and Final Provisions

This Agreement shall be governed by and construed under the laws of the United States (or your operating jurisdiction, if designated by SysIT LLC). Any dispute arising from or related to this Agreement shall be resolved through binding arbitration, except where prohibited by law.

If any provision is deemed invalid, the remaining provisions shall remain in full effect. Failure by SysIT LLC to enforce any right shall not constitute a waiver. This document represents the entire agreement between you and SysIT LLC regarding the Software and supersedes all prior communications.
